SEC updates annual registration statement and improve the wording in the SME securities offering registration form of companies listed on the Live Exchange Stock Exchange (LiVEx).
The Securities and Exchange Commission (SEC) has issued an announcement to improve the annual registration form and annual report (Form 56-1 SME One Report) to be consistent with actual work practices. and improve the wording in the small and medium-sized enterprise securities offering registration form (Form 69-SME-PO) to be consistent with the revised definition of institutional investors. The SEC issued an announcement to improve Form 56-1 SME One Report and improve the wording in Form 69-SME-PO of companies listed on the Live Exchange Stock Exchange (LiVEx), in accordance with the resolution of the Market Supervisory Board. The funds have approved such improvements. The details are as follows:
(1) Form 56-1 SME One Report: Cancel Section 6, Verifying the Accuracy of Information* because the Stock Exchange’s system currently supports the transmission of such information. The relevant announcement has been published in the Royal Gazette. and will come into effect from 1 January 2024.
(2) Form 69-SME-PO: Amend the words of institutional investors to be consistent with the announcement of the Securities and Exchange Commission No. Kor Jor. 39/2021 regarding the definition of institutional investors. Extra large investors and large investors It still requires businesses to separate and disclose the number and proportion of shares that support allocation to ensure clarity. and maintains the principles of supervision so that investors receive sufficient information to make decisions. The related announcement has been published in the Royal Gazette and will come into effect from December 1, 2023.
